A payment Institution - what is it?
A payment institution is a legal entity to which an authorized body has issued a permit for the provision and implementation of payment services throughout the European Union. In the Czech Republic, the regulation and control of financial markets is exercised by the Czech National Bank (CNB).
What are Payment Institutions allowed to do?

- Provide payment services specified in the permit of the payment institution. These include:
- Services allowing to place funds on the payment account, as well as all operations necessary for the operation of the payment account,
- Services that allow you to withdraw funds from the payment account, as well as all operations necessary for the operation of the payment account,
- Execution of payment transactions, including the transfer of funds between payment accounts of users of the Payment Institution or other payment service providers. These operations include:
- execution of direct debits of funds from user accounts, including one-time direct debit transfers,
- payment transactions via payment cards or similar devices,
- execution of credit transfers, including permanent (periodic) orders for the execution of cash-withdrawal transactions.
- Execution of payment transactions when funds are covered by the credit line of the payment institution user:
- execution of direct debits, including one-time direct debit transfers,
- payment transactions through payment cards or similar devices,
- credit transfer, including standing orders.
- Issuance and / or purchase of payment instruments.
- Money transfers.
- Payment transactions when the payer's consent to the payment transaction is provided through any telecommunication, digital or IT device, and payment is made to the telecommunications, IT system or network operator, acting only as an intermediary between the payer and the supplier of goods and services.

- To carry out activities related to the provision of payment services including the provision of credit. Under the provision of credit means the following:
- A loan for the purposes of this Law means any form of funds provided temporarily,
- The provision of a loan is an activity related to the provision of payment services and this payment service is specified in the permit of the payment institution,
- The loan cannot be provided from the funds that were entrusted to the payment institution for the implementation of the payment transaction,
- Own capital of the payment institution should be proportional to the total amount of the loan provided,
- The loan must be repaid in accordance with the agreement between the payment institution and the borrower within one year; this does not apply if a loan is granted in the Czech Republic.

- Manage the payment system, with the exception of an irrevocable payment system.
Who can be granted a Payment Institution license?
- which are a legal entity,
- have a registered office and head office in the Czech Republic,
- which has a corresponding share capital:
- 20000 EUR – primary activity,
- 50000 EUR is a plus to the basic execution of payment transactions of the electronic communications service provider, in case the payer's consent to perform the payment transaction is given using electronic communication equipment,
- 125000 EUR - full package of services, including reception and withdrawal of cash.
- have a business plan, including a budget forecast for the first three financial years, supported by realistic economic calculations,
- which have all the necessary technical, personnel and organizational prerequisites suitable from the point of the payment services reasonable provision view,
- the management system complies with the requirements established by this Law (§ 18),
- which protects the funds assigned to it by users of a payment transaction,
- business potential, which consists in providing services other than the provision of payment services, does not pose a significant threat to the financial stability of payment institutions, and cannot interfere with the effective supervision of credit institutions,
- in which significant participation is made only by people who are reliable and capable of ensuring the reasonable and prudent management of the payment institution,
- whose close ties with other people do not interfere with the effective supervision of credit institutions; close connection with a person who is governed by the law of a state that is not a member state, and not the legal system or the method of its implementation interferes with effective supervision of the activities of credit institutions,
- directors are reliable in terms of the reasonable provision of payment services,
- leading persons who are able to effectively conduct a payment service business are competent and have sufficient experience in terms of the reasonable and prudent provision of payment services.
What are the special conditions for obtaining a license of the Payment institution in the Czech Republic?
- The business plan provided by the customer is an integral part of the set of documents that are submitted to the Czech National Bank (CNB). By and large, the success or non-success of licensing application depends on the business plan.
- The CNB focuses with particular attention on firms whose founders and directors are persons from CIS countries. And in this case, the degree of elaboration of the business plan becomes even more significant.
- It is necessary to take into account that the license of the payment institution issued by the CNB grants the right to provide services throughout the EU. Of course, this does not limit in attracting customers from other countries. However, the license itself assumes that the activity will be conducted in the EU. Therefore, the business plan should mainly be focused on attracting customers from the EU and the Czech Republic. A business plan and a financial plan must be made for a period of at least 3 years.
- For our part, to facilitate the preparation of a business plan by our clients, we have prepared business plan and financial plan templates, which we transfer to clients after signing an agreement with us. Moreover, after the transfer of the business plan and financial plan to us, we will make a thorough analysis and give specific recommendations for finalizing the plans based on our experience with the CNB on this issue.

- Extracts from the penalty registrar in the Czech Republic to the founders and directors and extracts from the penalty registrar from the countries of residence of the founders and directors.
- Business plan for 3 years.
- Financial plan for 3 years.
- Description of the management and control system.
- Description of methods of protection of funds trusted for payment transactions.
- Description of how to implement various payment services.
- Description of human, organizational and technical support for individual activities.
- Description of the types, volumes and methods of performing other economic activities, if the payment institution carries out other activities than the activity for which a license is required in accordance with the law.
- Description of the method that the payment institution will use when calculating capital adequacy.
- Authorized capital in the amount of 20 000 EUR - 125 000 EUR, depending on the list of types of payment services offered.
What documents must be provided by the founders?
- Passport.
- Address Verification. For example, a utility bill. - Requires a certified translation.
- Certified copy of birth certificate.
- Extract from the penalty registrar from the country of citizenship.
- Police Clearance from the Czech Republic - we do.
- Proof of the origin of the funds to be contributed as a share capital. It may just be an income certificate.

Payment procedure for our services
- 1/3 is paid as a prepayment. From practice, we know that the only thing the CNB can find fault with is the business plan, since the law does not specify the requirements for it. Therefore, at the first stage, we are very scrupulous about the preparation of a business plan. Also at this stage we register a company and prepare all documents for submission to the Czech National Bank.
- 1/3 is paid after all the documents are ready and before submitting them to the CNB. At this stage, the dense work with the CNB on licensing application begins.
- 1/3 after obtaining license.
